2.1 Agents Stack provides technology and consulting services that help organisations deploy, integrate and manage AI agents and associated systems, with a focus on human-machine collaboration, cybersecurity, sustainability, supply-chain resiliency and digital transformation. 2.2 The Services may include our own offerings, third-party tools, or software licensed from others. Additional terms (such as statements of work, order forms, or license agreements) may apply. 2.3 We reserve the right to modify, discontinue, suspend or restrict the Services (or any part thereof) at any time without notice or liability.
3.1 You agree to provide accurate, current and complete information when you register for or use the Services. 3.2 You agree to use the Services only in compliance with all applicable laws, regulations, and these Terms. You will not: Use the Services to violate any law, infringe any third-party rights, or engage in unlawful, fraudulent, or harmful activity; Attempt to gain unauthorised access to any systems, networks or user accounts; Interfere with or disrupt the integrity or performance of the Services; Use the Services in any way that could harm Agents Stack, its users, or any third party; Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of any software or technology provided through the Services (unless explicitly permitted). 3.3 You are responsible for maintaining the security of your account credentials and all activity that occurs under your account.
4.1 You retain ownership of all data, content, and materials that you upload or submit through the Services (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to use, store, transmit, display, and process Your Content solely as necessary to provide the Services. 4.2 All intellectual property rights, titles and interests in and to the Services (including software, designs, trademarks, logos, underlying technology, documentation) remain owned by Agents Stack. 4.3 You shall not remove, obscure or alter any proprietary notices on the Services or materials provided by us.
5.1 Unless otherwise agreed in writing, you agree to pay all fees specified for the Services in accordance with the applicable statement of work or order form. 5.2 Fees are non-refundable unless expressly stated. We may suspend or terminate your access to the Services for non-payment. 5.3 We may update our pricing from time to time. Notice of any fee changes will be provided, and continued use of the Services after such notice constitutes your acceptance of the new fees.
6.1 “Confidential Information” means non-public information disclosed by one party (“Disclosing”) to the other (“Receiving”) that is marked as confidential or that reasonably should be considered confidential. 6.2 The Receiving party shall protect the Disclosing party’s Confidential Information with the same degree of care it uses to protect its own confidential information (but not less than a reasonable standard). The Receiving party will not disclose such information except (i) to its employees or contractors who need to know for providing or receiving the Services, and (ii) as required by law (with prior notice if permitted). 6.3 This confidentiality obligation does not apply to information that was known to the Receiving party before disclosure, becomes publicly known through no fault of the Receiving party, is received from a third party without obligation of confidentiality, or is independently developed.
7.1 We warrant that we will provide the Services in a professional manner consistent with industry standards. 7.2 EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. AGENTS STACK MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE CONTINUOUS, SECURE, OR ERROR-FREE. 7.3 You acknowledge that you are responsible for evaluating the suitability of the Services for your needs, including compliance with applicable laws, regulations, security, and other requirements.
You agree to indemnify, defend, and hold harmless Agents Stack and its affiliates, employees, officers, directors, agents, successors and assigns (the “Indemnitees”) from and against any claim, loss, liability, cost or expenses (including reasonable legal fees) incurred by any Indemnitee arising out of or in connection with: (i) your breach of these Terms; (ii) your use or misuse of the Services; (iii) your violation of applicable law or third-party rights.
Upon termination: (i) your right to access the Services ends; (ii) you must cease all use of the Services; (iii) any outstanding payments remain due; (iv) sections regarding confidentiality, indemnification, intellectual property, liability and any other obligations meant to survive shall continue in full force.
10.1 These Terms shall be governed by and construed in accordance with the laws without regard to its conflict-of-law provisions.
11.1 You may not assign or transfer your rights or obligations under these Terms without our prior written consent, and any attempt to do so is void. We may assign or transfer these Terms in whole or in part at any time. 11.2 If we delay or fail to enforce any right or provision under these Terms, this does not waive that right or provision. 11.3 Headings in these Terms are for convenience only and do not affect interpretation. 11.4 These Terms, along with any applicable order form, schedule or statement of work, constitute the entire agreement between you and Agents Stack relating to the Services and supersede all prior agreements, understandings or communications. 11.5 We may provide notices to you via email or postings on our website.
